After hours: the filing and the spike
At 4:25 p.m., after the close, the company filed an 8-K (a current report). The stock traded at $2.87 at 4:26 p.m. on 90 shares.
Then nothing for a while. At 5:12 p.m. it traded 1,000 shares around $2.95. In the 5:13 minute it ran from $3.04 to $3.69. In the 5:14 minute it hit $4.24, on 54,659 shares.

At 5:40 p.m. Business Wire ran: “Boxlight Corporation Announces Initial Closing of Private Placement”. By then the stock had already dropped from $4.77 to about $4.10. It did not return to $4.77. It traded mostly between $4.00 and $4.50 afterward and was at $4.62 at 7:59 p.m.
After hours volume was 2,957,075 shares, about 4.5 times the float. The regular session had 3,263.
What to take from it
- A quiet regular session can hide the real move. All the action here came after the close, when 2.96 million shares traded against 3,263 in the regular session.
- Thin books make the screen price unreliable. At the $3.05 high, only 232 shares were offered, and a 5,000-share buy would have averaged $3.21.
- The filing came before the headline. The 8-K was at 4:25 p.m. and the news at 5:40 p.m., after the stock had already peaked at $4.77.
